Phat Dat shareholders approved VND10.4 trillion investment in Lotte Properties HCMC

Phat Dat Real Estate Development Corporation (PDR: HOSE) has issued an extraordinary disclosure regarding the vote-counting minutes and the resolution of the 2026 Extraordinary GMS, adopted by soliciting shareholders' written opinions.

On June 22, 2026, Phat Dat submitted an extraordinary disclosure to the HCMC Stock Exchange and simultaneously published it on the Company's website, announcing that its shareholders had approved the acquisition of an equity interest in Lotte Properties HCMC Co., Ltd.

Under the resolution, the proposed transaction is valued at VND 10.4 trillion, representing 35% to less than 50% of the total assets recorded in the Company's most recent financial statements. Lotte Properties HCMC Co., Ltd. is currently developing a premium mixed-use real estate project comprising residential and commercial components.

The transaction is expected to take place in June 2026, or at another time depending on the progress of negotiations, internal approvals, and approvals from the competent state authorities.

The General Meeting of Shareholders authorizes the Board of Directors, and also allows the Board to delegate such authority to the Chairman of the Board and/or the Chief Executive Officer, to make decisions and carry out all necessary actions and procedures for the implementation of the transaction. The scope of the authorization includes negotiation and determination of the terms and conditions of agreements and related documents; executing, performing, extending, amending, or terminating transaction documents; preparing transaction plans, making financial arrangements, and completing all necessary legal procedures with the relevant parties.

According to the vote-counting minutes, as of the record date of June 1, 2026, the Company had 52,192 shareholders, representing 997,809,379 ballots. As of 12:00 p.m. on June 22, 2026, Phat Dat had received ballots from 294 shareholders, holding and representing 533,487,347 shares, equivalent to 53.47% of the ballots of all voting shareholders. Of these, 533,401,963 ballots were valid.

For the proposal on approving the acquisition of an equity interest in Lotte Properties HCMC Co., Ltd., 533,387,430 ballots were in favour of the acquisition, representing 53.46% of the total ballots of all voting shareholders.

For the proposal on authorizing the Board of Directors to implement the investment transaction, 532,595,530 votes were cast in favour, representing 53.38% of the total ballots of all voting shareholders.

The approval of these proposals provides the legal basis for Phat Dat to proceed with the subsequent steps of the transaction in accordance with its authority, applicable laws, and the Company's Charter. 

The resolution of the 2026 Extraordinary General Meeting of Shareholders took effect on June 22, 2026.
